PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING/ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER (SECTION 13) THAT AFFECT YOUR LEGAL RIGHTS.

These Terms and Conditions (“Terms“) form a legally binding agreement between you (“you,””your,” or “Customer“) and Amino Hack LLC, a Delaware limited liability company with its registered office at 16192 Coastal Hwy, Lewes, DE 19958 (“Amino Hack,” “we,” “us,” or “our“),governing your access to and use of https://aminohack.com (the “Site“) and any products, content,or services offered through it (collectively, the “Services“). By accessing the Site, creating an account, or placing an order, you agree to these Terms and to our Privacy Policy, Shipping Policy,and Return Policy, each incorporated by reference. If you do not agree, do not use the Services.

1. Eligibility and Customer Representations

By accessing the Site or placing an order, you represent, warrant, and covenant that:

  1. you are at least 18 years of age and have the legal capacity to enter into a binding contract;
  2. you are accessing the Site and purchasing products solely for bona fide laboratory research, in-vitro testing, or other lawful research activities, and not for personal use;
  3. you are a qualified researcher, scientist, laboratory professional, or are otherwise authorized to handle research-grade chemical compounds;
  4. you will use, store, handle, label, and dispose of all products in accordance with all applicable federal, state, local, and international laws, regulations, and industry standards;
  5. you will not redistribute, resell, or transfer products to any person who is not similarly qualified and bound by equivalent restrictions;
  6. you will not use any product for human or animal consumption, ingestion, injection,inhalation, topical application, diagnosis, treatment, cure, prevention, or mitigation of any disease or condition, or for any cosmetic, performance-enhancement, recreational, or othernon-research purpose;
  7. All information you submit in connection with the Services is true, accurate, current, and complete; and 
  8. Neither you nor the recipient is located in a jurisdiction where the sale, possession, or use of the products is prohibited, and you are not on any U.S. government denied-party,sanctions, or restricted-end-user list.

We may, at any time and in our sole discretion, require additional verification of any representation,refuse or cancel any order, suspend or terminate any account, and report suspected unlawful activity to law-enforcement or regulatory authorities.

2. Research Use Only (“RUO”)

ALL PRODUCTS OFFERED BY AMINO HACK ARE SOLD STRICTLY FOR RESEARCH USE ONLY (RUO) AND IN-VITRO LABORATORY USE. Without limiting the foregoing:

  • Products are not drugs, dietary supplements, cosmetics, medical devices, or food products.
  • Products have not been approved, cleared, or evaluated by the U.S. Food and DrugAdministration (“FDA“) or any other regulatory authority for safety, efficacy, purity, or fitness for any human or veterinary use.
  • Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition, and no medical, therapeutic, cosmetic, or performance-related claims are made.
  • Products are not for human or animal consumption or application, and must not be used in or on any human or animal subject.
  • It is the Customer’s sole responsibility to determine the suitability of any product for theCustomer’s intended research and to comply with all applicable laws and institutional review requirements.

3. Orders, Pricing, and Payment

  1. Offers and Acceptance. All product listings constitute an invitation to treat; your order is an offer to purchase, which we may accept or decline in our sole discretion. A contract of sale is formed only upon our shipment of the product.
  2. Pricing. All prices are stated in U.S. dollars and are exclusive of applicable taxes, duties,and shipping charges unless otherwise stated. Prices are subject to change without notice and may be corrected for typographical or pricing errors at any time prior to acceptance.
  3.  Payment. Payment is due in full at the time of order. We accept the payment methods listed at checkout. By providing payment information, you represent that you are authorized to use the designated payment method and authorize us (or our processor) to charge it for the total order amount.
  4.  Taxes and Duties. You are responsible for all sales, use, value-added, excise, and similar taxes and for any duties or import fees imposed on your order.
  5. Order Cancellation. We reserve the right to cancel any order, in whole or in part, at any time prior to shipment, including for suspected fraud, ineligibility, regulatory concerns,pricing error, or unavailability. If we cancel a paid order prior to shipment, we will issue a credit to the original payment method or, at our discretion, store credit of equivalent value.

4. Shipping; Title and Risk of Loss

Shipping is governed by our Shipping Policy. Unless otherwise agreed in writing, shipments are made of FOB origin (UCC § 2-319): title to and risk of loss for the products passed to the Customer upon our delivery to the carrier.

5. Returns

Returns are governed by our Return Policy. Due to the sensitive nature of research materials, all sales are final except as expressly provided in the Return Policy.

6. Intellectual Property

The Site and all content on it, including text, graphics, logos, images, product descriptions, software,and the compilation thereof (the “Content“), are owned by Amino Hack LLC or its licensors and are protected by U.S. and international copyright, trademark, trade-dress, and other intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Content for your personal, non-commercial review of our products. Any other use—including reproduction, modification,distribution, public display, scraping, framing, or use of any data-mining, robots, or similar collection or extraction tools—is strictly prohibited without our prior written consent. “AminoHack” and the Amino Hack logo are trademarks of Amino Hack LLC.

7. User Conduct

You agree not to:

  1. use the Services in violation of any law or regulation;
  2. submit false, misleading, or fraudulent information, including false age or research-purpose representations;
  3. interfere with or disrupt the Site, its servers, or networks, or attempt to gain unauthorized access to any portion of the Site;
  4. introduce any malware, virus, or harmful code;
  5. impersonate any person or entity or misrepresent your affiliation; or
  6. reverse engineer, decompile, or disassemble any portion of the Site.

8. Third-Party Services

The Site may integrate or link to third-party services (e.g., payment processors, shipping carriers,analytics). We are not responsible for, and disclaim all liability arising from, the acts or omissions of any third party or your use of any third-party service.

9. Disclaimer of Warranties

EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED ON A SPECIFIC PRODUCT’S CERTIFICATE OF ANALYSIS, ALL PRODUCTS AND SERVICES AREPROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW,AMINO HACK LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED,STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BEUNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AMINOHACK LLC, ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE OFFICERS, MEMBERS,EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OFPROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR RESEARCH RESULTS,ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY

PRODUCT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE),STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Amino Hack LLC and its affiliates, officers,members, employees, and agents from and against any and all claims, liabilities, damages, losses,costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms or any representation made herein; (b) your misuse of any product, including any use that is not strictly RUO; (c) your violation of any law or any third-party right; or (d) your negligence or willful misconduct.

12. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to its conflict-of-laws principles. Subject to Section 13, the exclusive venue for any action not subject to arbitration shall lie in the state courts of the State of Delaware located in New Castle County and the United StatesDistrict Court for the District of Delaware, and you irrevocably consent to the personal jurisdiction of those courts and waive any objection based on Forum non conveniens.

13. Binding Arbitration and Class-Action Waiver

Please read this Section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any product (a “Dispute“) shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (“AAA“) under its Consumer Arbitration

Rules, seated in Wilmington, Delaware (New Castle County), or by videoconference at your election.The arbitrator’s award shall be final and enforceable in any court of competent jurisdiction.

Class-Action Waiver. You and Amino Hack agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding.

Exceptions. Either party may (a) bring an individual action in small-claims court or (b) seek injunctive or equitable relief in court to protect intellectual-property rights.

Opt-Out. You may opt out of this Section 13 by sending written notice to support@aminohack.com within 30 days of first accepting these Terms, stating your name,address, and intent to opt out.

If any portion of this Section 13 is found unenforceable, the remaining portions shall remain in effect, except that the class-action waiver is non-severable, and if it is found unenforceable, this entire Section 13 is void.

14. Force Majeure

We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, public-health, labor dispute, supplier or carrier failure, internet or utility outage, or natural disaster.

15. Modifications

We may modify these Terms at any time by posting the revised Terms on the Site with an updated”Last Updated” date. Material changes will be effective upon posting. Your continued use of theServices after the effective date constitutes acceptance of the revised Terms.

16. Severability; No Waiver; Assignment; Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms,together with the policies incorporated by reference, constitute the entire agreement between you and Amino Hack LLC regarding the Services and supersede all prior agreements on the subject.
